Affiliate Program Agreement
1. Definitions
This Affiliate Program Agreement (the "Agreement") is a binding contract between you and CINELLI E TRINDADE TECNOLOGIA LTDA (trading as HalTuring) ("LitInboxes", "we", "us", "our"), the operator of the LitInboxes platform. By enrolling in the program you accept it. In this Agreement:
- Program: the LitInboxes affiliate and partner program described in this Agreement.
- Affiliate: a person or company enrolled in the Program under the standard self-serve terms.
- Partner: an Affiliate whose commission rate or commission duration has been individually negotiated and agreed in writing.
- Referred Customer: a new LitInboxes customer whose signup is attributed to your referral link or code under section 6.
- Commission: the amount payable to you for a Referred Customer's paid subscription, as defined in section 5.
2. Eligibility
- You must be at least 18 years old and able to enter into a binding contract.
- You must provide accurate, complete information at registration and keep it up to date.
- Residents of Brazil must hold an active CNPJ to receive payouts; the MEI regime is acceptable.
- You may not enroll in order to earn Commissions on your own subscription (see self-referrals in section 10).
3. Enrollment and Approval
Enrollment is self-serve, but every application is reviewed before activation. Accounts start as pending and may only share referral links once approved. We may accept or refuse any application at our discretion, and we may ask about your promotion channels before approving.
We may also re-review active accounts at any time to confirm they still comply with this Agreement.
4. Limited Trademark License
While you are active in the Program, we grant you a limited, revocable, non-exclusive, non-transferable license to use the LitInboxes name and logo solely to promote the service as described in this Agreement.
You may not register domain names, social media handles, or app names containing our marks or confusingly similar terms, alter our logo, or present yourself as LitInboxes or as our employee or agent. The license ends automatically when your participation ends.
5. Commissions
Unless otherwise agreed in writing, you earn a Commission of 20% of the subscription revenue we actually receive from each Referred Customer during that customer's first 12 months as a paying customer. Partner deals may set a different rate, a different duration, or both; the terms agreed in writing prevail for that Partner.
Commissions accrue on paid subscription invoices only. Refunded or charged-back amounts, taxes, and one-time services are excluded. No Commission accrues on invoices paid after the customer's commission window ends.
6. Attribution
Attribution uses a referral cookie valid for 90 days, set only with the visitor's consent, when they arrive through your referral link. If several referral links were clicked, the last click wins. Where the cookie is absent, the referral code carried in your link may still attribute the signup.
If a visitor declines the cookie and no referral code is present at signup, attribution may fail and no Commission accrues. We decide attribution in good faith based on the tracking data available to us; manual attribution claims can be reviewed but are not guaranteed.
7. Commission Holds
Each Commission starts as pending and is held for 30 days from the date it accrues, to absorb refunds, chargebacks, and fraud review. After the hold it becomes payable and counts toward your payout balance.
8. Payouts
Payouts are made in US dollars, at your request, once your payable balance reaches at least $50. Payouts are processed manually and require complete, accurate payout details in your affiliate dashboard.
- Brazil: payouts are made via PIX. Before each payout you must issue a nota fiscal to CINELLI E TRINDADE TECNOLOGIA LTDA for the payout amount; the payout is released after we receive it.
- Outside Brazil: payouts are made by international bank transfer, net of the withholding taxes Brazilian law requires us to collect. The applicable rate varies with your country of residence and any applicable tax treaty, and is 25% for residents of jurisdictions classified as favored-taxation jurisdictions under Brazilian law. Bank and currency-exchange fees may also be deducted from the payout.
You are responsible for your own taxes on Program income in your jurisdiction. We may hold any payout while your payout details are incomplete, while required documents are missing, or while an account is under review.
9. Refunds, Chargebacks, and Clawback
If an invoice that generated a Commission is refunded, partially refunded, charged back, or otherwise reversed, the corresponding Commission (or the corresponding part of it) is voided, whether it is pending or payable.
If a voided Commission was already included in a payout request or paid out, we may adjust your balance, deduct the amount from future payouts, or request repayment of significant amounts.
10. Prohibited Conduct
The Program exists to reward honest recommendations. You must not:
- Send spam: promote LitInboxes through unsolicited email or SMS of any kind. This is the rule we enforce hardest: doing so is grounds for immediate termination and forfeiture of unpaid Commissions.
- Self-refer: earn Commissions on your own accounts or on accounts you control or pay for.
- Stuff cookies: set the referral cookie without a genuine, consented click on your link, including through iframes, pop-unders, or forced redirects.
- Bid on our brand: run paid search or paid social ads targeting LitInboxes brand keywords or close misspellings, or route such traffic through your referral link.
- Post to coupon or deal sites: publish referral links, fake coupons, or discount claims on coupon, deal, or voucher sites.
- Mislead: make false or unverifiable claims about the service, present illustrative numbers as guarantees, or imply outcomes we do not promise.
- Promise income: advertise the Program itself with earnings guarantees or income claims.
- Incentivize signups: pay, rebate, or otherwise reward people for signing up through your link.
Violations can lead to voided Commissions, suspension, or termination with forfeiture under section 14, depending on severity.
11. Mandatory Disclosures
Wherever you promote LitInboxes, you must clearly and conspicuously disclose your material connection to us (that you earn a commission) in the way required by the law that applies to your audience. This includes the Brazilian Consumer Protection Code (CDC) and CONAR's advertising guidance in Brazil, the FTC's endorsement rules in the United States, and consumer protection law in the European Union.
We may monitor affiliate promotion, request evidence of your disclosures, and require you to correct or remove content that does not comply.
12. Data Protection
Each party is an independent controller of the personal data it processes in connection with the Program. You are responsible for processing your audience's personal data lawfully under the LGPD, the GDPR, and any other law that applies to you, including having a lawful basis for any promotion you send.
Referral tracking on our site is consent-based, as described in our Privacy Policy. We share with you only the Program data you need (such as referral counts and Commission amounts), not the personal data of Referred Customers.
13. Relationship of the Parties
You participate in the Program as an independent contractor. Nothing in this Agreement creates an employment relationship, partnership, joint venture, agency, or franchise between you and LitInboxes, and neither party may bind the other. The Program is non-exclusive: you may promote other products, and we may work with other affiliates and partners.
14. Term, Termination, and Effect
This Agreement starts when your enrollment is approved and continues until terminated. Either party may terminate at any time, with or without cause, by written notice (email is sufficient); we may also suspend or terminate immediately for breach.
On ordinary termination, Commissions that are already payable are paid out after a final reconciliation, subject to the minimum payout and payout requirements in section 8, and pending Commissions complete their hold before that reconciliation. No new Commissions accrue after termination.
On termination for material breach, including the prohibited conduct in section 10, unpaid Commissions (pending and payable) are forfeited.
15. Changes to the Program
We may change this Agreement, commission rates, the commission window, hold periods, payout mechanics, or any other aspect of the Program as it evolves. For material changes we will notify enrolled affiliates by email with reasonable advance notice. Changes do not retroactively reduce Commissions already accrued. If you continue participating after a change takes effect, you accept it; if you disagree, stop participating and request a final payout of your payable balance.
16. Liability and Disclaimers
The Program is provided "as is". We do not guarantee any level of referrals, conversions, or earnings, the uninterrupted availability of tracking, or the continued existence of the Program.
To the maximum extent permitted by law, our total liability to you under this Agreement is limited to the Commissions accrued and unpaid in the 12 months before the event giving rise to the claim, and we are not liable for indirect, incidental, or consequential damages or lost profits. You will indemnify us against claims arising from your promotion methods, your content, or your breach of this Agreement.
17. Governing Law and Forum
This Agreement is governed by the laws of the Federative Republic of Brazil. The courts of the city of São Paulo, State of São Paulo, are the elected forum for disputes arising from it, without prejudice to mandatory venue rules that may apply to you.
